1. Agreement to Terms
These Terms of Service ("Terms") form a legally binding agreement between you (the "User," "Customer," or "Venue") and Backstagedigital LTD ("we," "us," or "our") regarding your access to and use of the SoundScreen mobile application, TV display, and website (together, the "Service").
Backstagedigital LTD is a private limited company registered in England and Wales (company number 17071149), with its registered office at 3rd Floor, 86–90 Paul Street, London, EC2A 4NE, United Kingdom.
By downloading, installing, or using SoundScreen, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Description of the Service
SoundScreen is a digital signage tool that uses your device's microphone to identify ambient music playing in your venue and display the corresponding track information and artwork on linked smart displays.
The Service consists of:
- A mobile application (iOS and Android) that captures audio fingerprints and pushes track data to displays
- A web-based TV display (tv.soundscreenapp.com) that renders the now-playing artwork
- A backend cloud service that syncs your settings, screens, and history across devices
- A website (soundscreenapp.com) for marketing, support, and subscription management
You are responsible for providing your own internet connection, a compatible mobile device, and one or more displays capable of running a modern web browser.
3. Your Account and Venue ID
Your use of the app generates an anonymous "Venue ID" stored locally on your device and in our cloud database. You may optionally link an email address to your Venue ID to restore your subscription across devices and receive support.
You are responsible for keeping your device secure and for any activity that occurs under your Venue ID. If you believe your account has been accessed by someone else, contact us immediately so we can help secure it.
4. Free Use and SoundScreen Pro
SoundScreen offers two tiers:
Free Tier
Without a subscription, you can use the app to identify up to 10 tracks (single-button "Catch the Groove" scans). Manually pushing artwork, continuous auto-listening, multi-screen sync, and premium themes are restricted to Pro subscribers.
SoundScreen Pro
- Price: £30 per month (or local equivalent for in-app purchases). Pricing may change with notice; existing subscriptions are honoured at the previous price until renewal.
- Features: Unlimited identifications, continuous auto-listening, manual artwork override, up to 10 linked displays, premium themes, and priority support.
- Billing channels:
- Website purchases are processed via Stripe and billed to your card on file.
- Mobile in-app purchases are processed via the Apple App Store or Google Play and billed to your store account.
- Auto-renewal: Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
5. Cancellation
You can cancel your Pro subscription at any time:
- If you subscribed via the website (Stripe): use the Stripe customer portal link in your original receipt, or contact us at support@soundscreenapp.com to request cancellation.
- If you subscribed via the App Store (iOS): open the Settings app on your device → tap your Apple ID → Subscriptions → SoundScreen → Cancel.
- If you subscribed via Google Play (Android): open the Google Play Store app → Menu → Subscriptions → SoundScreen → Cancel.
Upon cancellation, you will retain access to Pro features until the end of your current billing period. No further charges will be taken.
6. Refunds and Consumer Rights
Under the UK Consumer Contracts Regulations 2013, you generally have a 14-day right to cancel a contract for digital services purchased online. However, this right is lost once the service has been fully provided with your consent during the cancellation period.
In practice: if you subscribe and immediately use Pro features (e.g. identify a track using continuous mode), you have consented to the immediate provision of the service and waived your 14-day cooling-off right for that billing period.
Outside of statutory rights:
- Website (Stripe) refunds: we may issue refunds at our discretion if you contact us within 7 days of payment and have not used Pro features extensively. Contact support@soundscreenapp.com.
- App Store and Google Play refunds: are governed by Apple and Google's respective refund policies, not ours. To request a refund for an in-app purchase, contact Apple Support or Google Play Support directly.
Nothing in these Terms affects your statutory rights as a consumer under UK law.
7. Acceptable Use
You agree not to:
- Reverse engineer, decompile, disassemble, or attempt to derive the source code of the SoundScreen software
- Bypass, circumvent, or attempt to manipulate the subscription paywall, free-tier scan limits, or database security rules
- Use the Service to identify music for purposes that would violate copyright, public performance licensing requirements, or other applicable laws in your jurisdiction
- Resell, sublicense, or commercially redistribute the Service to third parties without our written consent
- Use automated scripts, bots, or scraping tools to access or interact with the Service
- Attempt to interfere with the Service's operation, security, or other users' enjoyment of it
We may suspend or terminate your access to the Service if we believe you have breached these terms.
Note on music licensing: SoundScreen identifies music but does not grant you a licence to play music publicly. Public performance of music in a commercial venue typically requires a licence from a collecting society (e.g. PPL PRS in the UK). You are responsible for ensuring you hold the appropriate licences for the music played in your venue.
8. Your Data, Settings, and Vault
Your venue settings, linked screens, and Vault (identified track history) are stored in our cloud database, associated with your Venue ID. You retain ownership of any content you create or configure within the Service (e.g. screen names, themes selected).
If you cancel your Pro subscription, your free-tier access and existing settings continue to work. If you delete the app or request account deletion, your data will be erased according to the timelines in our Privacy Policy.
9. Intellectual Property
The SoundScreen name, logo, software code, design, and the underlying technology are owned by Backstagedigital LTD and protected by UK and international intellectual property law. We grant you a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the term of your access.
Album artwork, song titles, artist names, and other music metadata displayed by the Service are sourced from third-party providers (AudD, ACRCloud, Spotify) and remain the property of their respective rights holders. They are displayed for identification purposes only.
10. Disclaimers and Limitations of Liability
Service availability
SoundScreen relies on your internet connection, your device's microphone, and third-party services (AudD, ACRCloud, Firebase, RevenueCat, Stripe, Apple, Google). We are not liable for downtime, failed identifications, or interruptions caused by:
- Poor Wi-Fi or mobile data connectivity at your venue
- Hardware failures of your device or TV display
- Outages of our third-party providers
- Force majeure events outside our reasonable control
Identification accuracy
Our music recognition engine is highly accurate but not infallible. We do not guarantee that every track will be identified correctly, particularly in noisy environments, with obscure tracks, or with non-commercial recordings.
"As is" basis
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, to the fullest extent permitted by law.
Limitation of liability
To the maximum extent permitted by law, Backstagedigital LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service.
Our total aggregate liability to you for any claim arising from or related to the Service shall not exceed the greater of: (a) the amount you have paid us in the 12 months preceding the claim, or (b) £100.
Nothing in these Terms excludes or limits liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under UK law.
11. Termination
You may stop using the Service at any time by deleting the app and (if applicable) cancelling your subscription.
We may terminate or suspend your access to the Service at any time, with or without notice, if you breach these Terms or if we cease offering the Service. In the event we discontinue the Service entirely, we will give existing Pro subscribers reasonable notice and a pro-rata refund for any unused portion of their subscription.
12. App Store and Google Play Terms
When you download SoundScreen from the Apple App Store or Google Play, you also agree to those stores' respective terms of service in addition to these Terms. In particular:
- Apple is not a party to these Terms and has no obligations regarding the Service. Apple is, however, a third-party beneficiary entitled to enforce these Terms against you.
- Subscription management for App Store purchases is handled by Apple via your Apple ID account settings.
- Subscription management for Google Play purchases is handled by Google via your Google Play account settings.
13. Changes to These Terms
We may update these Terms from time to time. Significant changes will be communicated via the app or to the email address you have linked to your account. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
14. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer resident outside England and Wales, you may also have additional rights under your local consumer protection laws, which these Terms do not override.
